Would you join our board? My top 4 questions to ask before signing on . . .

The phone rings and you hear a voice say,

“Hi friend, would you join our board?”

I don’t know about you, but when I get the call, I’m flattered to be asked. But I quickly recover from that emotion as I grapple with the question at hand . . . would I join this board? 

Why would I join? Why wouldn’t I?

These are important questions to ask. And even more important questions to answer.

Just like any other decision, we ask questions to help us make wise choices. As you consider joining a board, take the time to learn more about the organization. Since you’re being asked to volunteer your time, energy, money, influence, and expertise, you have a right to know the answers to certain questions.

Here are my top four questions to ask before signing on . . .

1. Who works for whom?

Does the board work for the CEO, or does the CEO work for the board? (This may be the most important question you ask.)

Regardless of the answer, it’s important that you know what it is. You should be aware if the role of the board is to advance the agenda of the CEO.

On the other hand, if the board sets the agenda and the role of the CEO is to implement it, you should know that beforehand too.

These two paths are very different. Know what you are getting into.

2. Has the board adopted long term strategic goals?

These formal expressions of the direction the organization is headed should guide every decision made in the boardroom. Do we know where we’re going?

3. Is the D&O policy current?

For your own sake, it’s important to ask about liability. If the Directors and Officers Liability Insurance policy is not in place, or the premium payments are not up-to-date, do not join! If the policy is in place, find out if there have been any claims against it during the last 5 years.

4. What is expected of board members?

The answer should be reflected in the board minutes. Learn what the board says each member is expected to do. Also seek to discover any unwritten expectations and traditions. New board members need to understand both the formal and informal culture of the governing body.

This certainly isn’t an exhaustive list, but these four questions are a great place to begin. The answers will help you understand if you’re a good fit for the organization. Or not.
